MARKETPLACE & COMMISSION PAYMENT FACILITATION POLICY

This Marketplace & Commission Payment Facilitation Policy (“Policy”) explains the specific role, responsibilities, and limitations of Taxi Sanchalak (“Taxi Sanchalak”, “we”, “us”, “our”) in operating its technology platform and facilitating commission payments between Users.
This Policy is to be read together with our Terms & Conditions and Privacy Policy and forms an integral part of them.
By accessing, registering on, or using the Taxi Sanchalak platform (“Platform”), you (“User”) agree to this Policy.
1. ROLE OF TAXI SANCHALAK
1.1. Taxi Sanchalak is a technology marketplace operated by TSP Technologies Pvt. Ltd. It enables:
-
Agents to post/book taxi requirements.

Drivers to view and accept those bookings.
-
Facilitation of commission payments from Drivers to Agents.
1.2. Taxi Sanchalak acts only as:
-
An online marketplace connecting Drivers and Agents; and
-
A commission payment facilitator between Drivers and Agents via integrated payment partners.
1.3. Taxi Sanchalak is not:
-
A taxi operator, transport company, or travel agent.
-
The employer, partner, principal, or representative of any Driver, Agent, Travel Company, or Customer.
-
A party to the underlying contract of transportation between Driver/Agent/Travel Company and the Customer.
All transportation services are independently provided by Drivers/Agents/Companies at their own risk and responsibility.
2. USERS COVERED
This Policy applies to:
-
Agents: Individuals/companies posting or sourcing bookings.
-
Drivers: Individuals/vehicle owners accepting and fulfilling bookings.
-
Travel companies / aggregators: Acting as Agent and/or Driver.
-
Any User using the Platform for bookings, allocations, or commission transactions.
3. BOOKINGS & COMMISSION FLOW
3.1. Booking Posting & Acceptance
a. Agent posts a booking on the Platform.
b. Driver views available bookings and chooses to accept one.
c. To accept a booking, the Driver pays a Commission to the Agent (or designated party) through the Platform, using integrated payment gateways.
3.2. Trip Fare / Customer Payments – Outside the Platform
3.2.1. The trip fare / booking amount payable by the Customer is:
-
Negotiated/decided directly between the Customer and the Driver / Agent / Travel Company; and
-
Not collected, processed, or controlled by Taxi Sanchalak.
3.2.2. The Driver receives payment for the trip:
-
Directly into their own account (by cash, UPI, bank transfer, wallet, etc.), or
-
Through any mutually agreed arrangement with the Agent/Travel Company,
without routing through the Taxi Sanchalak app.
3.2.3. Taxi Sanchalak:
-
Has no involvement in collection or settlement of trip fare.
-
Is not liable for non-payment, partial payment, or disputes relating to trip fare or other charges.
Our role is strictly limited to commission payments between Driver and Agent.
4. COMMISSION PAYMENT FACILITATION
4.1. Payment Partners
To process commission-related payments and payouts, we may use third-party payment service providers, including but not limited to:
-
Cashfree – for receiving payments into the system.
-
Razorpay – for processing payouts to Users.
These partners operate under their own terms and regulatory frameworks.
4.2. Successful Booking (Trip Completed)
If the booking is marked as successfully completed as per Platform rules:
-
The Commission paid by the Driver is:
-
Allocated to the Agent (or designated User),
-
After deduction of Taxi Sanchalak’s applicable service / transaction / facilitation charges and taxes.
-

A payout is automatically initiated to the Agent via the payout partner.
4.3. Cancellation Before Pickup
If the booking is cancelled before pickup, as per Platform and policy conditions:
-
The Commission paid by the Driver is:
-
Automatically refunded to the Driver (in full or in part, as per the cancellation/commission rules shown on the Platform).

Taxi Sanchalak’s charges in such scenarios will follow rules stated on the Platform at the time of transaction.
4.4. Disputes & Payment Holds
In case of:
-
Suspected fraud,
-
Misuse, fake bookings, or policy violations,
-
Conflicts between Driver and Agent on booking genuineness or completion,
Taxi Sanchalak may, at its sole discretion:
-
Temporarily hold the commission amount.
-
Seek basic clarifications or supporting information from the parties.
-
After review, decide to:
-
Release payout to the Agent, or
-
Refund the amount to the Driver, or
-
Take any fair and reasonable action limited strictly to the Commission amount.
-
Taxi Sanchalak’s decision on commission payout/refund for Platform purposes shall be final and binding, without prejudice to parties’ independent legal remedies against each other.
5. FEES, GST & INVOICING
5.1. Taxi Sanchalak charges:

Service / facilitation / transaction fees or commission for enabling commission payments and use of the Platform.
5.2. For these charges:
-
Taxi Sanchalak issues GST-compliant invoices on its own fees only.
-
Taxi Sanchalak is responsible for payment of GST on its own income as per applicable law.
5.3. Taxi Sanchalak does NOT:
-
Charge or pay GST on the full trip fare or full booking value on behalf of Drivers/Agents/Companies.
-
Act as the tax agent for Users.
5.4. User Tax Responsibility:

Drivers, Agents, and Travel Companies are solely responsible for:
-
Assessing their GST and tax obligations,
-
Registering under GST or other laws, where applicable,
-
Charging, collecting, and paying taxes on:
-
Trip fare,
-
Commission income,
-
Any other related earnings.
-

5.5. Users agree to indemnify and hold harmless Taxi Sanchalak / TSP Technologies Pvt. Ltd. from any claims, penalties, or liabilities arising from their tax non-compliance.
6. NO ESCROW, NO FIDUCIARY OBLIGATION
6.1. Unless explicitly mandated by law and notified, amounts routed as commission:
-
Are not held in statutory escrow or trust by Taxi Sanchalak.

Are processed through payment partners as per standard settlement cycles and risk checks.
6.2. Taxi Sanchalak is not a bank, NBFC, or financial intermediary in the regulatory sense. We only integrate licensed payment gateways.
6.3. Taxi Sanchalak is not liable for:
-
Delays due to banks/payment gateways/technical issues,
-
Chargebacks or reversals initiated by payment partners or banks,
-
Regulatory or KYC-based holds imposed by third parties.
7. USE OF DATA & VERIFICATION
7.1. To ensure a secure and fraud-free marketplace, Taxi Sanchalak may:

Collect and verify KYC details, vehicle documents, driver licence, Aadhaar (as described in the Privacy Policy).

Use such data strictly for:
-
Identity verification,
-
Fraud detection,
-
Risk management,
-
Compliance, and
-
Dispute resolution.
-
7.2. We do not sell User data.
Data handling, storage, and protection are governed by our Privacy Policy, which Users must read and accept.
8. USER OBLIGATIONS UNDER THIS POLICY
By using the Platform, you agree that:
8.1. You will:

Provide only genuine, valid, and updated documents and information.
-
Use the Platform only for legitimate bookings and commission payments.
-
Not misuse, fabricate, or manipulate bookings to exploit commission or refunds.
8.2. You will not:
-
Represent Taxi Sanchalak as a guarantor of trip fare or income.
-
Mislead Customers or other Users about our role.
-
Use the Platform for illegal, fraudulent, or non-compliant activities.
8.3. Taxi Sanchalak may:
-
Suspend, block, or terminate access,
-
Withhold or reverse payouts,
where it reasonably suspects fraud, misuse, or violation of this Policy or applicable laws.
9. LIMITATION OF LIABILITY
9.1. Taxi Sanchalak’s liability is strictly limited to:
-
The correct facilitation and handling of commission payments processed through the Platform, subject to this Policy.
9.2. Taxi Sanchalak is not liable for:
-
Any trip fare dispute between Customer and Driver/Agent/Company;
-
Any loss of business, revenue, or profit;
-
Any act/omission of Drivers, Agents, or Customers;
-
Any tax, penalty, or interest arising from User non-compliance.
9.3. In any event, our aggregate liability, if established, shall be limited to the total facilitation fees received by us from the concerned User in the three (3) months preceding the claim.
10. AMENDMENTS
We may update or modify this Policy at any time to reflect business, legal, or regulatory changes. Updated versions will be posted on the Platform.
Continued use of the Platform after such changes constitutes your acceptance of the updated Policy.
11. ACCEPTANCE
By registering on or using the Taxi Sanchalak Platform, you:

Confirm that you have read, understood, and agree to this Marketplace & Commission Payment Facilitation Policy.

Acknowledge that Taxi Sanchalak only facilitates commission payments between Drivers and Agents and does not handle or assume responsibility for trip fare collection.

Agree to comply with all obligations set out herein and in the Terms & Conditions and Privacy Policy.
